Terms of Service

By accessing or using mshg-corporate.com (the "Site") or any services provided by Matthew Sanscrainte Hospitality Group ("MSHG," "we," or "us"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Site.

MSHG offers hospitality consulting, hotel management, distressed property turnaround, executive recruiting, revenue strategy, project management, and a secure Client Portal for active engagements. All services are delivered pursuant to a separate written agreement between MSHG and each client.

The Site itself — including blog content, service descriptions, and AI Concierge chat — is for informational purposes only and does not constitute professional, legal, financial, or investment advice.

You must be at least 18 years old and legally capable of entering into contracts to use our services. If you are issued credentials for the Client Portal, Careers Portal, or Admin Dashboard, you are responsible for:

• Maintaining the confidentiality of your login.
• All activity conducted through your account.
• Notifying us immediately of any unauthorized access.

You agree NOT to:

• Use the Site for any illegal, fraudulent, or harmful purpose.
• Attempt to access, reverse engineer, or interfere with any protected area of the Site.
• Upload malware, viruses, or any code intended to disrupt the Site or services.
• Harvest or scrape any content, data, or personal information.
• Misrepresent your identity, impersonate another person, or submit false information.
• Use the AI Concierge to generate content that is unlawful, defamatory, or infringing.

All content on the Site — including text, graphics, logos, photographs, the MSHG lion emblem, videos, software, and the underlying design and compilation — is the exclusive property of MSHG or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual-property laws.

You may view, download, and print content from the Site for your personal, non-commercial use only. Any other reproduction, republication, distribution, or commercial use without prior written consent is strictly prohibited.

By submitting information to us (through forms, the Client Portal, or chat), you grant MSHG a worldwide, royalty-free, non-exclusive license to use, store, and process that information as necessary to provide our services and improve the Site. You represent that you have the right to submit such information and that it does not violate any third-party right.

Client invoices issued through the Client Portal are processed via Stripe. Payment terms, fees, and refund policies are governed by the separate service agreement between MSHG and each client. Unless otherwise stated in writing, professional service fees are non-refundable once services have been rendered.

The Site may link to third-party websites or integrate third-party services (Google Calendar, LinkedIn, Stripe, Google Analytics, AI providers). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their terms and privacy policies.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MSHG DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

MSHG does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Hotel performance results discussed on the Site are specific to past engagements and are not a guarantee of future results for any particular property.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSHG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA — ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

MSHG's total aggregate liability for any claim arising out of the Site shall not exceed one hundred U.S. dollars ($100) or the amount you paid MSHG in the preceding twelve (12) months, whichever is greater.

You agree to indemnify, defend, and hold harmless MSHG and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction and venue there.

At MSHG's option, any dispute may be resolved through final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive any right to participate in a class action.

We may suspend or terminate your access to the Site or any portal, with or without notice, for any reason — including a violation of these Terms. Sections 5, 6, 9, 10, 11, and 12 survive any termination.

We may modify these Terms at any time. Updated Terms will be posted on this page with a new Effective Date. Continued use of the Site after changes constitutes acceptance.
